Biography
MATTHEW HORLOCK advises sponsors on the structuring, formation, fundraising and ongoing management of both closed and open-ended private investment funds and other products. His practice includes advising sponsors in relation to their equity and credit investment products in the real assets, infrastructure and private equity sectors. Matthew also represents institutional investors in relation to their investments in such private investment funds.
Matthew’s advice spans established global sponsors in relation to their multi-billion dollar strategies, investment mandates and other investment products, to first-time managers looking to raise their first private investment fund and syndications of existing investment portfolios into dedicated investment vehicles. He also advises on co-investment structures, carry vehicles and arrangements and operational and governance issues related to private investment funds. In terms of investor representation, Matthew has advised institutional investors including insurance companies, pension plans, sovereign wealth funds and asset managers in relation to their primary investment in funds, co-investments and secondaries transactions including complex multi-portfolio positions.
Prior to joining Sidley, Matthew spent the last few years as Co-Head of Legal Fund Structuring for one of the world’s largest alternatives asset managers and was primarily responsible for advice on the structuring, formation, marketing and ongoing management of its real estate and infrastructure products, including multi-billion dollar flagship funds. This experience means that he has a sharp understanding of the workings and priorities of investment managers, and valuable exposure to the fundraising process and governance issues facing funds throughout the investment cycle.

- Its flagship real estate evergreen investment funds focusing, respectively, on Core real estate, logistics and residential assets.
- Flagship € 2 billion evergreen infrastructure equity platform.
- € 1.2 billion closed-ended development fund.
- Second vintage of a logistics development fund, which raised € 250 million in commitments.
- Platform focusing on Australian residential housing, which was structured as an Australian unit trust.
- Funds of funds focusing on investing in private equity and infrastructure platforms.

- A group of insurance companies on its investment in a number of funds spanning the private equity, private credit, infrastructure and real estate sectors.
- A leading alternatives asset manager on the syndication of some of its clients’ existing life sciences assets to provide liquidity and establish a newly seeded platform for wider investment.
- An institutional investor on the realisation of a number of its positions in US-based funds focusing on strategies including private equity, emerging markets, private credit, real estate and infrastructure.
