Biography

CHRISTIAN BARRAZA primarily focuses on advising clients on the structuring and formation of alternative investment funds, including private equity funds, hedge funds, credit funds, funds of funds, and real estate funds. Christian also represents both U.S. and non-U.S. investors in connection with their investments in leading private investment funds, separate and/or managed accounts, co-investments, and secondary transactions. In addition, Christian advises investment managers and other buy-side clients in connection with all aspects of their trading, structuring, and documenting of derivatives transactions. Christian also has represented both issuers and underwriters in connection with the structuring, execution, offer and sale of various financial instruments, products, and transactions.

Christian earned his J.D. with high honors from the University of North Carolina School of Law, where he was an articles editor for the North Carolina Law Review. Christian received his LL.M. in taxation from New York University School of Law, where he was the recipient of the “Harry J. Rudick Memorial Award” for distinction in the LL.M. tax program and served as a graduate editor for the Tax Law Review.

Christian assisted with representation of:

  • Colliers (NASDAQ and TSX: CIGI) in its investment in Versus Capital, a U.S. alternative real asset management firm.
  • ZMC affiliated investment funds in their acquisition of iconic comedy brand The Second City.
  • Goldman Sachs & Co. LLC, Wells Fargo Securities, LLC, and the other underwriters in connection with an offering by Southwest Airlines Co. of US$1.0 billion aggregate principal amount of notes (US$300 million of 5.250% notes due 2025 and US$700 million of 5.125% notes due 2027).
