Jen Raab

JEN RAAB represents biotechnology, pharmaceutical, medical technology, diagnostics, vaccine, and digital health companies in complex strategic transactions across the life sciences industry. Her practice focuses on licensing, collaboration, co-development, co-promotion, option, manufacturing, and other commercial agreements that support the research, development, and commercialization of innovative products and technologies.

Jen advises clients on a broad range of corporate partnering matters, including strategic alliances between emerging biotechnology companies and large pharmaceutical organizations. She regularly structures and negotiates domestic and cross-border transactions, with particular experience in licensing and collaboration arrangements involving Asia-based life sciences companies. Her work spans platform and discovery collaborations, development and commercialization partnerships, option-based transactions, and other arrangements designed to advance innovative therapies and technologies.

Jen also counsels clients on transactional diligence, intellectual property-related considerations, and risk assessment in connection with strategic transactions, financings, initial public offerings, and mergers and acquisitions. She works closely with management, business development, legal, and operational teams to help companies execute transactions aligned with their scientific and commercial objectives.

Jen represents clients across a range of therapeutic areas and technologies, including biologics, gene regulation and gene therapy platforms, oncology products, immunology therapies, neurological disease programs, and other innovative life sciences technologies.

• Hengrui Pharma in its strategic discovery, collaboration, and license transaction with BMS to develop up to 13 programs, valued at up to US$15.2 billion in total deal value.
• Argo Biopharma in its multi-asset license and option agreements with Novartis, for a US$160 million upfront payment, up to US$5.2 billion in milestone and option payments, and tiered royalties.
• A large pharmaceutical company in its exclusive ex-China license agreement with a globally operating clinical-stage biopharmaceutical company.
• A large pharmaceutical company in its strategic joint venture with a leading medical technology company.
• Sangamo Therapeutics in its license agreement with Eli Lilly, valued at up to US$1.4 billion. 
• COUR Pharmaceuticals in its license agreement with Genentech, for a US$40 million upfront payment, up to US$900 million in milestone payments, and tiered royalties.

• Zai Lab in its license and collaboration agreement with Blueprint Medicines Corporation, for a US$25 million upfront payment, up to US$590 million in milestone payments, and tiered royalties.
• Zai Lab in its exclusive collaboration and license agreement with argenx for the development and commercialization of efgartigimod in Greater China, including mainland China, Hong Kong, Taiwan, and Macau.
• I-Mab Biopharma in its global license and collaboration agreement with AbbVie Ireland for the development and commercialization of lemzoparlimab for a US$180 million upfront payment, up to US$1.76 billion in milestone payments, and tiered royalties.

• Jazz Pharmaceuticals in its exclusive license agreement with PharmaMar for lurbinectedin in the United States for a US$200 million upfront payment, up to US$800 million in milestone payments, and tiered royalties.
• Cue Biopharma in its multi-target strategic collaboration with LG Chem Life Sciences to develop multiple Immuno-STAT biologics focused in the field of oncology for a US$5 million equity investment, up to US$400 million in milestone payments, and tiered royalties.
• Jazz Pharmaceuticals in its collaboration and option agreement with ImmunoGen to develop and commercialize anti-body drug conjugate products used for cancer treatments, for a US$75 million upfront payment, up to US$100 million in development funding, along with an option exercise, potential milestone payments, and tiered royalties.
• Vera Therapeutics in a product acquisition with Pfizer.
• COUR Pharmaceuticals in its option and license agreement with Ironwood Pharmaceuticals.
