
Biography
KIANA SHIN advises clients on complex corporate and transactional matters, with a primary focus on mergers, acquisitions, dispositions, private equity transactions, and general corporate matters in the energy, infrastructure, and transportation industries. She represents public and private companies, private equity sponsors and portfolio companies in connection with acquisitions, investments, divestitures, strategic relationships, joint ventures, and various other types of transactions. Kiana’s practice also includes aviation matters, particularly in the regional airline space.
In addition to her transactional practice, Kiana provides pro bono services to clients in regard to various matters, including expunction proceedings, nondisclosure proceedings, immigration matters, and emerging enterprises.
Kiana graduated with a J.D. from the University of Michigan Law School. While in law school, Kiana was a member of the UMichigan Triathlon Team and worked as an ACE-certified personal trainer for the UMichigan Department of Recreational Sports. She was also a member of the Michigan Law Headnotes a cappella group. Kiana also served her community by working as a student lawyer in three clinics during law school, including the Veterans Legal Clinic, the Community Enterprise Clinic, and the Low Income Taxpayer Clinic.

- Coastal Waste & Recycling, Inc. (“Coastal”) in its acquisition of Southwest Waste, a leading independent waste-hauling and recycling company on Florida’s west coast.
- Harrison Street, one of the leading investment management firms exclusively focused on alternative real assets, in a joint venture with Competitive Power Ventures Group (CPV Group), a leading developer, owner, and operator of utility-scale renewable and low emission electric generation.
- Stonepeak Infrastructure Partners in its definitive documentation with American Tower subsidiary CoreSite to form a joint venture to develop, construct, and operate a new 18 megawatt data center campus in Denver, Colorado, with CoreSite operating the data center.
- Morgan Stanley Energy Partners and its portfolio company, Durango Midstream LLC, a leading natural gas gathering, processing, and marketing company, in connection with the sale of Durango Midstream’s subsidiary, Durango Permian LLC, which owns and operates a world-class midstream business in New Mexico, to Kinetik (NYSE: KNTK), a midstream company operating in the Delaware Basin.
- Atlantic Power & Utilities in its sale to Fengate Asset Management (“Fengate”) of 100% of the equity interests in Morris Cogeneration, LLC, a project company that owns a 177-megawatt combined heat and power facility located in Morris, Illinois.
- Atlantic Power & Utilities in entering into a definitive agreement with Hull Street Energy for the sale of 100% of the equity interest in EF Oxnard, LLC, a project company that owns a nominal 48 MW simple cycle, gas-fired project located in Oxnard, California.
- United Airlines with a restructuring of the intercompany relationships between United and its MileagePlus subsidiaries, and reviewing certain MileagePlus partner agreements and form contracts.
- United Airlines in its transaction with Mesa Airlines (Mesa) involving the restructuring of Mesa’s long-term capacity purchase agreement (including the addition of up to 38 CRJ-900 aircraft), the assumption of all of CIT Bank’s rights and obligations under a credit facility with Mesa, the agreement to purchase 30 GE aircraft engines for gross proceeds of approximately US$80 million, and related equity and governance arrangements.
