Biography

HANNIE SYEDA advises on a range of transactional, including M&A, regulatory and commercial matters for UK and international (re)insurance companies.

Recent experience includes:

  • Advising Westfield in its acquisition of the Lloyd’s operations of Argo Group, including Argo’s Lloyd’s managing agency and Argo’s members supporting Syndicate 1200.
  • Advising Arthur J. Gallagher & Co., a global insurance brokerage, risk management and consulting services firm, in its acquisition of the treaty reinsurance brokerage operations of Willis Towers Watson for US$3.25 billion.
  • Advising Arthur J. Gallagher & Co. on its US$3.57 billion acquisition of Willis Towers Watson Assets.
  • Advising Great Hill Partners in connection with its acquisition of Notonthehighstreet, a UK curated online marketplace.
  • Advising GIC in connection with a US$1 billion investment in Convex Group, led by GIC and Onex Partners.
  • Advising Massachusetts Mutual Life Insurance Company on its acquisition of a shareholding in Rothesay Life.

Hannie trained and qualified as a solicitor in Sidley’s office in London, where she also completed seats in the Global Finance group and Restructuring team.

Representative Matters

In recent years, Hannie has advised:

  • Apollo Funds in their strategic minority equity investment in Charles Monat Associates.
  • Queen Park’s Equity on its acquisition of Learndirect Limited and its subsidiaries, a provider of online learning platform and courses. 
  • Munich Re on £1 billion longevity swap with Willis Pension Scheme.
  • Certain investment funds affiliated with Apollo Global Management, LLC on the acquisition of a majority stake in Catalina Holdings (Bermuda) Ltd.
  • Assisting in the establishment of a Bermudian reinsurance sidecar structure.
  • (Re)insurers on a range of regulatory matters, including the recently adopted Senior Insurance Managers Regime.

Pro Bono

Hannie is also involved in a wide range of pro bono work, including representing claimants in their challenges to Personal Independence Payment decisions and working as a volunteer solicitor for Not Beyond Redemption, a charity which helps women in prison get access to their children.
