JACOB TRAVERS represents issuers, underwriters and major shareholders in a variety of SEC-registered and exempt transactions, both U.S. and cross-border, including initial public offerings, SPAC and de-SPAC transactions, common and preferred equity offerings, debt offerings and public M&A transactions. He also advises clients on corporate governance matters and ongoing disclosure obligations, including compliance with the Exchange Act disclosure requirements, New York Stock Exchange, and Nasdaq corporate governance rules

Representative Matters
Equity Offerings:
- A German biopharmaceutical company in a cash capital increase via an accelerated bookbuilding, raising approximately €102.7 million.
- A Norwegian battery technology company in its first SEC-registered follow-on offering of ordinary shares, raising US$264.5 million.
SPAC Transactions:
- A special purpose acquisition company in its US$863 million initial public offering and its $500 million business combination with a medical technology company focused on weight management.
- A special purpose acquisition company in its US$345 million initial public offering and its $8 billion business combination with an Indian renewable power company, as well as its $855 million accompanying PIPE transaction.
Debt Offerings:
- The initial purchasers in connection with the debut issuance of €500 million and US$510 million of Green Senior Secured Notes due 2030 by a global clean energy power producer portfolio company of a global private equity firm, as well as a subsequent issuance of €675 million of Senior Secured Notes due 2031.
- A Nordic operator of ferry services in connection with its issuance of US$350 million and €315 million of Senior Secured Notes due 2025 and its related tender offer for existing notes.
Public M&A:
- A multinational telecommunications company in connection with its approximately US$6.2 billion acquisition of a global tower infrastructure company.
- A leading global paper and packaging company in connection with its approximately US$9.9 billion acquisition of a UK-listed packaging company.
- The special committee of a UK-listed gene therapy company in connection with its take-private acquisition by a life sciences investment company.
- A Finnish food delivery company in connection with its approximately US$8 billion acquisition by a leading U.S. food delivery platform.
