Biography

MICHAEL DAVID WILLIAMS focuses his practice in three primary areas: representing financial institutions in construction lending and equity investment, including low-income housing tax credit investment, for affordable multifamily housing and economic development projects; representing clients in connection with sports real estate transactions, including the development and renovation of stadiums and arenas; and representing private equity clients in connection with real estate financing transactions.

While attending New York University School of Law, Mike was a managing editor for the New York University Journal of Legislation and Public Policy, a Lawrence Lederman Fellow in Law and Economics, and a Tax Law Review Scholar.

Mike is an active participant in the firm’s pro bono program, having represented non-profits in connection with seeking 501(c) status, veterans in connection with their disability claims, and non-profits in connection with their office lease negotiations. He is also involved in the Transgender Legal Defense & Education Fund’s Name Change Project. Mike was named to the Volunteers of Legal Service Pro Bono Dean’s List in 2021 for assisting small business owners affected by the COVID-19 pandemic.

Representative Matters

Affordable Housing and Community Development

  • Representation of Goldman Sachs Urban Investment Group as lender and equity investor for the development of a mixed-use project that will house the National Urban League’s new headquarters in Harlem, New York City.
  • Representation of client as lender in a US$121.5 million construction financing for the development of a mixed-use multifamily housing in Far Rockaway, NY.
  • Representation of Wells Fargo Bank, N.A., as lender for the development of a mixed-use project in Willets Point, Queens. 
  • Representation of Wells Fargo in its financing of Bronx Point, a 22-story building that will contain 542 affordable housing units, public open space, early childhood space, outdoor science programming, and the Universal Hip Hop Museum.

Sports Real Estate

  • Representation of the State of New York/Empire State Development as lead counsel in its high-profile public-private partnership with the Buffalo Bills to build a new US$1.54 billion state-of-the-art, 60,000-plus-seat stadium in Orchard Park, New York.
  • Representation of Monumental Sports & Entertainment in a strategic partnership with the District of Columbia to modernize Capital One Arena, home to the NHL’s Washington Capitals and the NBA’s Washington Wizards.

Private Equity

  • Representation of LifePoint Health, Inc. in an acquisition of a majority ownership interest in Springstone, a leading behavioral health provider.
  • Representation of LifePoint Health, Inc. in its agreement with Medical Properties Trust, Inc. with respect to a sale-leaseback of 10 acute care hospitals in six markets for US$700 million.
