The Evolution of Activism Preparedness

Shareholder activism has become a structural feature of the public company landscape. What was once treated as a niche concern, or a reactive exercise, is now in-creasingly viewed as a standing crisis management practice.

This shift reflects a broader change in activism itself. Activists are more prevalent, and the pressure they exert is not limited to the merits of their thesis. A cam-paign can consume board and management time, often when the company is least well-positioned to absorb the distraction.

Preparedness now means ensuring the company is well-positioned strategically, operationally, financially, and tactically to engage on the merits without being pushed into decisions solely dictated by the activist's leverage.
