Biography

WILL BAKER represents private equity sponsors and strategic investors in the structuring and negotiation of domestic and cross-border transactions and investments, including mergers and acquisitions, leveraged buyouts, joint ventures, minority investments, recapitalizations, dispositions, and other equity and debt financings.

Will has experience across a range of industries, including healthcare, technology, life sciences, insurance, entertainment, consumer products, and retail. He also regularly advises clients on general corporate and governance matters.

    • Its acquisition of Olaplex, a prestige and professional hair care brand.
    • The sale of Byram Healthcare, a leading domestic distributor of medical supplies, from Mediq B.V. to Owens & Minor.
  • Represented Arsenal Capital Partners in:
    • Its sale of its portfolio company, Applied Products, Inc., a comprehensive provider of adhesive solutions.
    • Its acquisition of Knowtion Health, a provider of AI-powered revenue cycle insurance claim resolution services.
    • Its acquisition of Endpoint, a leading provider of Randomization and Trial Supply Management solutions, and Fortrea Patient Access, a scaled leader in the HUB services and patient access market.
    • Its acquisition of Hopebridge, LLC, a center-based provider of behavioral health services for children affected by autism spectrum disorder.
    • Its acquisition of Best Value Healthcare LLC, a leading primary care platform operating in Central and South Florida, and MAXhealth, a primary-care centric, multi-specialty group operating in West Florida.

  • Represented Freeman Spogli & Co. in:
    • Its acquisition of Regent Holding Company, a global designer and wholesaler of home décor and accent products.
    • Its acquisition of Integrated Supply Network, a wholesale distributor of automotive tools, equipment, and supplies.
  • Represented Kohlberg & Company in:
    • Its acquisition and sale of Osmose Utilities Services, Inc., a provider of structural integrity management services to power utilities and telecommunications providers across the transmission and distribution infrastructure grid.
    • Its investment in and sale of U.S. Risk Insurance Group, Inc., a leading international specialty lines underwriting manager and wholesale broker.
    • Various investments made by its portfolio company, MarketCast, including the acquisitions of Deductive, a provider of data sciences services in the media and consumer sector, and Turnkey Intelligence, a preeminent sports research and advisory firm.
  • Represented Summit Partners in:
    • The acquisition of ForeSight Medical by its portfolio company Paradigm Outcomes.
    • The founding of Fortis Life Sciences, and the acquisitions by Fortis Life Sciences of Bethyl Laboratories and nanoComposix.
  • Represented TPG Capital in:
    • Its investment in DirecTV with AT&T.
    • Its investment in Viking Cruises, a cruise line providing river, ocean, and expedition cruises.
    • Various investments made by its portfolio company, Cirque du Soleil, including the acquisition of Blue Man Group, a global live entertainment company best known for the award-winning Blue Man Group show.
    • Its sale of Vertafore, a provider of adaptable technology solutions for the insurance industry, to Bain Capital Private Equity and Vista Equity Partners.
  • Represented US Acute Care Solutions, a national leader in physician-owned emergency medicine, hospitalist, observation, and critical care services, in its acquisition of Alteon Health.
  • Represented Welsh, Carson, Anderson & Stowe in:
    • The formation of United Musculoskeletal Partners in partnership with Resurgens Orthopaedics.
    • Its investment in LIBERTY Dental Plan Corporation, a dental benefits administrator.
    • Its creation of and subsequent exit from a joint venture with Tenet Healthcare Corporation and United Surgical Partners International.
  • Represented Welsh, Carson, Anderson & Stowe and United Musculoskeletal Partners in its partnerships with Panorama Orthopedics, Novum Orthopedic Partners, Orthopedic Associates, All-Star Orthopaedics, and OrthoTexas Physicians and Surgeons.
