Biography

Lucinda Boothby’s practice focuses on cross-border and multijurisdictional mergers and acquisitions, joint ventures and private equity transactions across the Asia Pacific region. She has experience advising private and listed companies across a range of sectors, especially infrastructure (including digital infrastructure), energy transition, oil and gas and mining. Her experience in the energy transition sector includes advising on the major forms of renewable energy (offshore wind, onshore wind, solar, geothermal and hydroelectrical).

Prior to joining Sidley, Lucinda worked at magic circle and international law firms in Singapore, Hong Kong and Perth.

Examples of Lucinda’s experience includes advising on the following matters:

  • Macquarie Asset Management, Macquarie Asia Infrastructure Fund and their affiliates on, amongst other deals:
    • The sale of STPL and GRICL toll roads in India to KKR-backed Highways Infrastructure Trust.
    • The sale of Stride Climate Investments, a solar generation platform in India, to Actis.
    • The sale of its interests in Formosa 2 offshore wind farm in Taiwan.
  • Stonepeak on various transactions in the digital infrastructure space.
  • Partners Group on a transaction in the energy transition space.
  • PT Pertamina Geothermal Energy Tbk. on the formation of a joint venture company with Chevron New Energies to explore for geothermal resources in the Way Ratai Geothermal Working Area in Lampung, Indonesia, which have the potential to produce electricity, green hydrogen and green ammonia for supply to domestic and export markets.
  • Sumitomo Corporation on various transactions in the energy space including on their acquisition of an interest in a hydroelectric power project in North Kalimantan.
  • The sponsor and the project company on the sale of a 50% interest in a landmark coal-fired build-operate-transfer power project in Vietnam.
  • A Philippines power conglomerate on its proposed minority investment in a Southeast Asian clean energy company with a portfolio of solar assets in Malaysia, Bangladesh, Singapore, Indonesia, the Philippines and China.
  • A Philippines power conglomerate on its proposed minority investment in an Indonesian coal company.

  • Apache Corporation on the sale of its Australian oil and gas business to a consortium of private equity funds managed by Macquarie Capital Group Limited and Brookfield Asset Management for US$2.1 billion.
  • A petroleum and natural gas company on its proposed investment in a Malaysian petrol station business.
  • A Danish fund manager on its proposed minority investment in an LNG import, regasification facilities and city gas network developer with assets in India, Malaysia, the Philippines and South Korea.
  • Indonesia Investment Authority in relation to its investment in the Kanci-Pejagan and Pejagan-Pemalang sections of the Trans-Java toll road with a consortium comprising Abu Dhabi Investment Authority and APG Asset Management.
  • The court appointed receivers on the sale of 100% of the shareholding in DyStar Global Holdings (Singapore) Pte Ltd, a global leading dyestuff and chemical manufacturer and solution provider headquartered in Singapore, valued at more than US$1 billion.
  • Abu Dhabi Investment Authority on its investment into Lenskart Solutions Private Limited.
  • Goldman Sachs on its investment into Bytedance.
  • Select Carbon Pty Ltd on the disposal of its carbon farming business to Shell.
  • Emmerick Pty Ltd on the sale of its 20% interest in DSI Underground to Sandvik Mining.
  • IGO in relation to its acquisition of Western Areas Limited by way of scheme of arrangement for AUD$1.1 billion.
  • Standard Chartered Bank on the sale of its multi-jurisdictional principal finance real estate business to Actis.
  • Goldman Sachs on the formation of a consortium with private equity funds to acquire a portfolio of twelve properties in Hong Kong.
