Andrew Colosimo

ANDREW COLOSIMO focuses his practice on private equity transactions, mergers and acquisitions, joint ventures, and corporate law. With an extensive background in advising on both large-scale private equity and M&A matters, Andrew is adept at navigating complex strategic partnerships and platform transactions. Andrew also has extensive experience in asset management M&A, including seed and stake transactions, the sale or purchase of controlling interests in asset managers, and the integration and spin-out of asset management platforms into and out of large institutions, including the negotiation of complex governance arrangements and other partnership matters.

Andrew's portfolio encompasses a diverse range of domestic and international clients, including private equity funds, real estate funds, financial institutions, and corporations.

His work has earned him consistent recognition in the industry. He is ranked in Chambers Global for Private Equity Buyouts, IFLR1000 as a leading lawyer in Private Equity since 2017, and in Legal 500 U.S. for Private Equity Buyouts.

• HPS Partners in connection with its up to US$15 billion sale to Blackrock, Inc. (having also represented HPS Partners in its spin-out from JP Morgan in 2016).
• Marathon Asset Management in connection with its up to US$1.6 billion sale to CVC.
• Monroe Capital in connection with its up to US$1.4 billion sale to Wendel.  
• HPS Partners in connection with its acquisition of ElmTree Funds.
• Wafra, Inc. in connection with the negotiation of its exit terms in connection with the sale of numerous managers including Arclight Capital, DigitalBridge, Basalt Infrastructure Partners, Oakhill Advisors, and Motive Partners.
• Hunter Point Capital in connection with the negotiation of its exit terms in connection with the sale of numerous managers including Coller Capital and Iron Park Capital.  

GP Stakes Transactions 

• Bonaccord Capital Partners in its acquisition of a minority interest in numerous managers since 2018, including most recently: Park Square Capital, Kingswood Capital Management, Bernhard Capital Partners, Lead Edge Capital, Kayne Anderson Private Credit, Revelstoke Capital Partners, Synova Capital, VMG Partners, Shamrock Capital, and Trivest Partners.
• Wafra, Inc. in its acquisition of a minority interest in numerous disclosed and undisclosed managers since 2012, including Stonepoint Capital, TowerBrook Capital Partners, New Enterprise Associates, Ardian, Oakhill Capital Partners, Oakhill Advisors, Arclight Capital, TSG Consumer Partners, Greykite, MML Capital, Thompson Street Capital Partners, DigitalBridge, and Post Road Group.
• Hunter Point Capital in its acquisition of a minority interest in numerous managers since 2022, including Bayview Asset Management, Coller Capital, SLR Capital Partners, and Iron Park Capital.
• Azimut Alternative Capital Partners in its acquisition of numerous undisclosed managers since 2025.
• HPS Partners in connection with the sale of GP stakes to Blue Owl GP Strategic Capital (Dyal), The Guardian Life Insurance Company of America, and The National Pension Service of South Korea (and representing HPS Partners in connection with the negotiation of exit terms for such investors in connection with its sale to Blackrock in 2025).
• Permira in connection with a sale of a GP stake to Petershill, the stakes division of Goldman Sachs.Monroe Capital in connection with a sale of a GP stake to Bonaccord Capital Partners.
