Biography
ASHLEY FLAHERTY MIZZER focuses her practice on fund finance and structured finance transactions, advising lenders and large financial institutions acting in a variety of roles, including administrative agents, arrangers, letter of credit issuers, and lenders on a broad range of financings. Her practice includes advising on subscription credit facilities, NAV and hybrid facilities, letter of credit facilities, term loan facilities, and facilities with multi-tranche and subordinated tranche components.
Ashley regularly counsels clients through the full lifecycle of subscription credit facilities, from initial due diligence and structuring considerations to documentation of the financing through closing as well as ongoing portfolio management. With nearly a decade of experience, she has a deep understanding of credit considerations and lender concerns that arise during due diligence of funds’ governing agreements, investor side letters, and related contractual agreements and she is often asked to analyze and provide a commercial solution to solve for the same. Furthermore, Ashley is experienced with providing representation on multi-jurisdictional and multicurrency transactions and has advised her clients on such financings ranging from club deals to largely syndicated transactions exceeding US$7 billion in value.
In addition, Ashley has experience working with ratings agencies and providers of financial guaranty and insurance products in connection with fund-related financings. She is frequently engaged to prepare and refine client forms and precedent documentation, assisting her clients to streamline transactions and often to facilitate a fund’s goal to maintain consistency across their platforms. Relatedly, Ashley presents tailored fund finance trainings to her clients and their in-house counsel that focus on the aforementioned diligence considerations, as well as recent market developments. At her client’s requests, she has prepared and delivered presentations ranging from broad overviews to a narrowly focused topic.
Most recently, Ashley has been recognized by Best Lawyers: Ones to Watch in America 2026 for her work in the Banking and Finance space.
