Biography
MATTHEW GREEN advises clients on executive compensation and employee benefits matters, with a focus on the design, implementation, and governance of compensation arrangements for senior executives. He counsels public and private companies on the tax, securities law, and corporate governance considerations affecting employment agreements, severance and change-in-control arrangements, incentive and bonus programs, and retention agreements.
Matthew works closely with clients to develop compensation structures that support the recruitment, retention, and incentivization of key talent. He also advises on the executive compensation and employee benefits aspects of corporate transactions, including mergers and acquisitions, initial public offerings, and private equity transactions, helping to integrate these matters into transactions and mitigate legal and regulatory risk.
Matthew earned his J.D. from the University of Texas School of Law where he served as the editor-in-chief for the Texas Review of Law and Politics; he earned his B.A. in political science from Brigham Young University. Matthew previously served as an officer in the U.S. Army Reserve.

- Talos Energy in its US$1.1 billion acquisition of EnVen Energy Corporation, a private operator in the deepwater U.S. Gulf of Mexico.
- Bonanza Creek Energy in its business combination with Extraction Oil & Gas to form Civitas Resources, and Civitas Resources in its subsequent acquisition of Crestone Peak Resources, creating a combined company valued at approximately US$4.5 billion.
- Focus Financial Partners in its US$7 billion acquisition by Clayton, Dubilier & Rice.
- Queen’s Gambit Growth Capital in its US$1.1 billion business combination with Swvl, a Dubai-based provider of mass transit and shared mobility solutions.
- Prairie Operating Co. in its sale to Creek Road Miners, a cryptocurrency mining company.
