Jonathan R. Litsey

JONATHAN LITSEY represents public and private companies across industries in corporate and transactional matters, including public and private acquisitions, divestitures, investments, and other general corporate matters. Jon also provides pro bono services to clients on a variety of matters through the Dallas Volunteer Attorney Program. His work has earned him recognition in Best Lawyers: Ones to Watch in America® 2026 for Mergers and Acquisitions Law.

Jon earned his J.D. from Duke University School of Law, graduating cum laude. He received his Bachelor of Science in Finance from the College of Charleston.

• Victory Live, a technology platform focused on sports and entertainment, event management, data, and ticketing software, in its acquisition of Logitix from private equity firm ZMC.
• Carlyle and KKR in its agreement to acquire a US$10.1 billion portfolio of prime private student loans from Discover Bank.
• MarketTime, LLC in its majority investment by private investment firm Hudson Hill Capital.
• Fleming Insurance Holdings, a portfolio company of Altamont Capital Partners, in its strategic US$277 million acquisition of JRG Reinsurance Company (JRG Re).
• Victory Live, Inc., an event management and ticketing technology platform backed by Clearlake Capital Group, L.P., in its acquisition of Ticket Evolution Inc., an end-to-end software provider for the event ticketing industry.
• Zywave, Inc., a leading Software-as-a-Service (SaaS) provider of front-office distribution solutions, backed by Clearlake Capital Group, L.P. and Aurora Capital Partners, in its acquisitions of:
  • Strategic Insurance Software, a provider of web-based agency management systems and customer relationship management solutions for property and casualty (P&C) insurance agencies
  • ClarionDoor, a provider of intelligent insurance product distribution software to the property and casualty (P&C) market
  • IBQ Systems, an insurtech leader in personal lines comparative rating
  • Modgic, a provider of workers’ comp and mod analysis software for the commercial insurance industry
• Nova Labs, Inc., a pioneer of decentralized wireless communications that launched the core technologies powering the Helium Network, in its acquisition of FreedomFi Inc.
• Presidio Investment Holdings LLC (Presidio Petroleum), a portfolio company of Morgan Stanley Energy Partners, in the largest to date by value securitization of oil and gas proved developed producing (PDP) assets.
• Roche Molecular Systems, a member of the Roche Group, in its acquisition of Ariosa Diagnostics Inc., a molecular diagnostics company that manufactures prenatal tests for fetal health.
• Tepha Inc., a leading developer and manufacturer of a proprietary resorbable polymer technology (Poly 4-hydroxybutyric acid (P4HB)), in its sale to Becton, Dickinson and Company.
• Athene Holding Ltd. in connection with its acquisition of Donlen Corporation from Hertz Global Holdings, Inc.
• Clearlake Capital Group, L.P. in its US$3 billion acquisition of Endurance International Group Holdings, Inc.
