Biography
DANIEL RAWNER has a transactional practice, where he focuses on advising private equity clients in connection with leveraged recapitalizations, management buyouts, mergers and acquisitions, structured preferred and growth equity investments, and search fund transactions.
Dan advises private equity firms, public and private companies, and individuals in corporate and mergers and acquisitions transactions involving U.S. and non-U.S. businesses. Dan regularly represents clients in transactions in the software, healthcare, financial services, and business and consumer services industries. He serves as primary general counsel to a number of privately held companies. Dan also represents several investment banks as financial advisors in connection with mergers and acquisitions transactions.
Dan has been recommended by the Legal 500 Latin America for Corporate and M&A (2024–2025).
Dan is the co-chair of the Boston Bar Association’s Business Transactions Section.

Dan’s representative private equity clients include CapitalSpring, Goldman Sachs, Great Hill Partners, and Sixth Street Partners, among others. Dan represents more than 20 search funds and related investors. Dan is also primary outside general counsel to a number of private companies, including Ikon Science, TodayTix, and EnterpriseDB.
Dan’s representative transactions include:
- Great Hill Partners in numerous investment, acquisition, and sale transactions, including: CustomInk, Gizmodo Media Group, EnterpriseDB, Ikon Science, TodayTix, Storyblocks, ZoomInfo, and Wayfair
- Boston Scientific Company, in connection with various transactions, including investments in and acquisitions of nVision Medical, EndoChoice Holdings, and Cosman Medical
- Goldman Sachs in numerous investment and sale transactions, including: Aras, Innovid, Optimizely, iBoss, BigCommerce, Egnyte, LeanTaaS, Aryaka, and Billtrust
- Sixth Street in numerous investment and sale transactions, including: AvidXchange, DrFirst, SmartDrive, Medsphere, MDLIVE, and AvePoint
- Valence Health, a provider of healthcare information technology solutions for hospitals, health systems, and physicians, in a sale of its majority stake to Evolent Health
- Safeway in connection with (i) the sale of Safeway’s Canadian retail grocery and related operations to Sobeys Inc. for C$5.8 billion, (ii) the sale of the assets of Safeway’s property development subsidiary to Terramar Retail Centers, LLC for US$828 million, and (iii) the sale of Safeway in a take-private transaction to a consortium led by Cerberus Capital Management and Albertsons for US$9.0 billion
- Toshiba Corporation in connection with the acquisition of OCZ Technology Group, a provider of high-performance solid-state drives (SSDs) with operations in Israel, UK, Taiwan, and the U.S., through a Section 363 sale process
- Odyssey Investment Partners in its acquisition of Cross Country Pipeline Supply, a distributor of pipeline construction and maintenance supplies. Related representations include investments in and by Cross Country, including Cross Country’s acquisition of Power Associates International, a provider of equipment and supplies in the oil and gas pipeline industry
- GE Capital Global Banking in its sale of 100 % of the equity of BAC Credomatic GECF Inc., a banking firm with locations throughout Central America, Mexico, and Colombia, to Grupo Aval for US$1.9 billion
- Investment banks, including Credit Suisse, Bank of America Merrill Lynch, Citi, and Goldman Sachs, acting as financial advisors in numerous transactions
