Biography

JONATHAN WESTREICH’s practice includes the representation of public and private companies and investment funds in public and private mergers, equity and asset acquisitions and dispositions, tax-free reorganizations and internal restructurings, with a focus on sports, entertainment, and media. He counsels corporations, investment managers of hedge funds and private equity funds, LLCs and operating partnerships on structuring and tax issues of formation, choice of entity, and operating and joint-venture agreements. In addition, Jonathan works on transactions involving equity and mortgage REITs, including representing issuers and underwriters in capital markets transactions, and other real estate finance and joint-venture transactions.

Prior to joining Sidley, Jonathan participated in the Summer Honors Internship Program at the United States Securities and Exchange Commission. Jonathan earned his J.D., magna cum laude, from Harvard Law School, where he was executive editor of the Harvard Business Law Review and researched U.S. federal income tax reform proposals for Professor Louis Kaplow.

Prior to attending law school, Jonathan served in Rabbinic positions in the United States and abroad. He received his bachelor’s degree in Talmudic studies from Beth Medrash Govoha.

  • Clearlake Capital Group, L.P. and Francisco Partners Management, L.P. in their proposed US$2.1 billion acquisition of Software Integrity Group from Synopsys, Inc.
  • Perforce Software, a provider of solutions to enterprise teams backed by Francisco Partners and Clearlake Capital Group, L.P., in its definitive agreement to acquire Delphix, a data management software platform.
  • BetaNXT, backed by Clearlake Capital Group, L.P. and Motive Partners, in its acquisition of Mediant Communications.
  • Roche in its acquisition of Carmot Therapeutics Inc., a clinical-stage GLP-1 company, for an upfront payment of US$2.7 billion.
  • Roche in its sale of its Genentech biologics manufacturing facility to contact drug manufacturer, Lonza for US$1.2 billion in cash.
  • Roche in its acquisition of diagnostics company, GenMark (NSDQ:GNMK) for US$1.8 billion in cash

  • Mercury 13 Holdco, Inc. in its launch of a fund to acquire controlling stakes in women’s professional sports teams in Europe and Latin America.
  • The owners of the Portland Sea Dogs, a Major League Baseball (MLB)-affiliated Minor League Baseball (MiLB) club based in Portland, Maine, in connection with the sale of the Sea Dogs to an affiliate of Diamond Baseball Holdings.
  • Jeff Skoll in connection with his minority investment in Monumental Sports & Entertainment, which owns and operates the Washington Wizards, Washington Capitals and Washington Mystics.
  • Warner Music Group in the formation of a joint venture with Elliot Grainge’s label, 10K Projects, whereby 10K Projects became a standalone label within the WMG ecosystem and its rosters of artists, including Trippie Redd and Ice Spice, joined the WMG family.
  • Eldridge Industries, in its acquisition alongside Dick Clark Productions, of all the Golden Globes’ assets, rights, and properties from the Hollywood Foreign Press Association.
  • The Gersh Agency (the only remaining major talent agency without outside investment) and the Gersh family members, in a strategic partnership with private equity firm Crestview Partners, to support the agency’s next phase of growth.
  • Naturium in its acquisition by e.l.f. Beauty, Inc.

Community Involvement

Pro Bono

Represented the descendants of Willa and Charles Bruce in the historic return of the “Bruce’s Beach” property which was wrongfully taken from the family over 100 years ago.
