Sidley represented Nassau Financial Group and its affiliates in a Rule 144A/Regulation S offering (the Offering) of its 7.875% senior notes due 2030 (the 2030 Notes). The aggregate principal amount of the 2030 Notes offered in the Offering was initially US$400 million, which was subsequently increased to US$425 million based on investor demand. This successful transaction represented Nassau’s debut deal in the capital markets.
The deal team was led by Rob Ryan, Michael Devins, and Banks Bruce, and it included Garrett Hughey, Ryan Metz, and Cici Xi (all Capital Markets); Mary Kathryn Field and Dara Adeoye (both Global Finance); Vince Onorato, Sara Africano, and Michaela Cappucci (all Insurance/M&A/Private Equity); and Dr. Dan Altman and Alvin Wang (both Tax).
