Biography

TAYLER BRAGG represents companies, boards of directors, special committees, and executives in complex business disputes and investigations.

She advises clients through their most critical and challenging matters, including consumer protection litigation and investigations, class and collective actions, and other high-stakes sensitive matters.

Before joining Sidley, Tayler earned her J.D., summa cum laude, from SMU Dedman School of Law, where she was elected to the Order of the Coif and served as a comment editor for the SMU Law Review. Tayler received her B.S., summa cum laude, from Texas Tech University.

Tayler’s recent representations include:

Consumer Protection Litigation & Investigations

  • Representing a publicly traded company in an action against the Federal Trade Commission (FTC) and various States regarding alleged violations of the FTC Act and the Restore Online Shoppers’ Confidence Act (ROSCA).
  • Representing a publicly traded company in connection with a Civil Investigative Demand (CID) issued by the FTC regarding alleged violations of the Fair Credit Reporting Act (FCRA).
  • Represented a publicly traded company in an action against the FTC in the Northern District of Texas regarding alleged violations of the FTC Act and ROSCA; secured dismissal with prejudice of the FTC’s two primary counts and favorably settled the remaining claims on the first day of trial.
  • Represented a private technology company in connection with a CID issued by the FTC regarding alleged violations of the FTC Act.

Consumer Class Action Litigation

  • Representing publicly traded and privately held companies in putative class actions in federal courts throughout the country alleging violations of the Electronic Communications Privacy Act (ECPA) and California Invasion of Privacy Act (CIPA), among other claims.
  • Represented a publicly traded insurance company in a putative class action in the Western District of Texas alleging violations of the Telephone Consumer Protection Act (TCPA); negotiated favorable settlement.
  • Represented a privately held nutrition company in a putative class action in state court alleging violations of the TCPA; negotiated favorable settlement.

Employment Collective and Class Action Litigation

  • Represented a privately held energy company in a putative collective and class action in New Mexico federal court and individual arbitrations alleging violations of the Fair Labor Standards Act (FLSA); secured court and arbitrator approval of favorable settlements.
  • Represented a privately held construction company in a putative collective and class action in Ohio federal court alleging violations of the FLSA; secured court approval of favorable settlement.
  • Represented a privately held retail company and executive in putative collective and class actions in Louisiana, New Jersey, North Carolina, and Tennessee federal courts alleging violations of the FLSA; won contested motions to transfer venue and compel arbitration and ultimately secured court approval of favorable settlements.

Other High-Stakes Litigation, Internal Investigations, and Special Matters

  • Represented a publicly traded company in obtaining a complete trial victory in expedited proceedings in the Delaware Court of Chancery concerning activist stockholders’ breaches of a voting commitment and standstill in a stockholders’ agreement, followed by an affirmance on appeal to the Delaware Supreme Court.
  • Represented a special committee of a board of directors in reaching its recommendations in favor of reincorporation and ratifying an executive compensation package, both of which were subsequently approved by shareholders and litigated in Delaware.
  • Represented an insurance company in state and federal court actions related to COVID-19 business interruption coverage; developed a successful first-impression removal strategy and ultimately secured dismissal with prejudice.
  • Represented a special committee of a publicly traded company in an investigation of whistleblower claims brought by C-suite executives alleging harassment and discrimination by the CEO.
  • Conducted numerous other internal investigations for publicly traded companies involving whistleblower, accounting, and executive issues.
