Biography

TAYLER BRAGG represents companies, boards of directors, special committees, and executives in complex business disputes and investigations.

Tayler’s litigation practice spans all aspects of pleadings, discovery, trial, and appeal. She litigates all manner of high-risk disputes, including those involving breach of contract, business torts, consumer protection, employment, and shareholder matters. Tayler has successfully represented companies in their most critical matters, including class and collective actions and multi-jurisdictional disputes, in courts throughout the country.

Before joining Sidley, Tayler earned her J.D., summa cum laude, from SMU Dedman School of Law, where she was elected to the Order of the Coif and served as a comment editor for the SMU Law Review. Tayler received her B.S., summa cum laude, from Texas Tech University.

Experience

Representative Matters

Tayler’s recent representations include:

  • Representing a publicly traded company in an action against the Federal Trade Commission (FTC); obtained dismissal with prejudice of the FTC’s two primary counts.
  • Represented a publicly traded company in obtaining a complete trial victory in expedited proceedings in the Delaware Court of Chancery concerning activist stockholders’ breaches of a voting commitment and standstill in a stockholders’ agreement, followed by an affirmance on appeal to the Delaware Supreme Court.
  • Represented a special committee of a publicly traded company in an investigation of whistleblower claims brought by C-suite executives alleging harassment and discrimination by the CEO.
  • Represented an energy company in a putative collective and class action in New Mexico federal court and in individual arbitrations alleging violations of the Fair Labor Standards Act (FLSA) and a related state statute; obtained court and arbitrator approval of favorable settlements.
  • Represented a construction company in a putative collective and class action in Ohio federal court alleging violations of the FLSA and a related state statute; obtained court approval of favorable settlement.
  • Represented an energy company in a multi-defendant New Mexico state court action alleging a paying quantities dispute; obtained dismissal with prejudice.
  • Represented a mortgage company in a Texas state court action against another mortgage company and former executive related to fiduciary and contractual obligations; obtained a favorable settlement.
  • Represented a retail company and executive in putative collective and class actions in Louisiana, New Jersey, North Carolina, and Tennessee federal courts alleging violations of the FLSA and related state statutes; won contested motions to transfer venue and compel arbitration and ultimately secured court approval of favorable settlements.
  • Represented an insurance company in Florida state and federal court actions related to COVID-19 business interruption coverage; developed a successful first-impression removal strategy and ultimately secured dismissal.
  • Represented a foreign electronics company in Texas state and appellate court actions; secured dismissal for lack of personal jurisdiction.
  • Represented a medical device company in Texas state and appellate court actions; obtained a temporary injunction to enforce a former employee’s non-competition and non-solicitation obligations.
  • Represented a luxury retail company in a Texas federal court action alleging violations of the Fair Credit Reporting Act (FCRA); secured dismissal.
  • Represented an electronics company in a high-stakes investigation brought by the FTC.
  • Conducted numerous other internal investigations for publicly traded companies involving whistleblower, accounting, and executive issues.
  • Advised nationwide industrial, home décor retail, and luxury retail companies on COVID-19-related orders.
  • Advised an entertainment company on a nationwide expansion into sports betting.
