PHIL CERNY represents private equity sponsors, their portfolio companies and corporate borrowers in connection with leveraged finance transactions and a wide range of financing matters at every level of the capital structure, with a particular focus on complex cross-border acquisition financings, syndicated loan financings, private credit financings, refinancings, restructurings, and general banking matters.

Phil has also been seconded to the leveraged finance team at a leading American investment bank.

  • the sale of a leading Italian price comparison website to an American private equity sponsor.
• Onex, in connection with:
  • its acquisition of a leading supplier to the global aerospace sector.
  • the refinancing of the debt facilities of TES Global, an international provider of comprehensive software solutions for the education sector.
• Permira, in connection with:
  • the refinancing of the senior secured notes and revolving credit facility of a German luxury fashion retailer.
  • its portfolio company Neuraxpharm on Neuraxpharm’s successful €925 million term loan B refinancing.
• Nordic Capital, in connection with the dividend recapitalisation of a leading Swedish insurance broker.
• A leading American energy investor, in connection with the take-private of one of the largest waste management and energy-from-waste companies in Europe.
• Cinven and Astorg, in connection with the establishment of an additional revolving credit facility for LGC Science Group, a global life science tools company.
