Biography

DANIELLE HAIKAL focuses her practice on the representation of public and private companies in a wide variety of merger and acquisition transactions, including company sales, leveraged acquisitions, carve-outs, take-privates, mergers of equals, significant investments, and joint ventures. She also regulatory advises publicly traded corporations on a wide range of matters, with a particular focus on federal securities laws and corporate governance.

Danielle received her J.D., magna cum laude, from Boston College Law School, where she served as an articles editor on the Boston College Law Review and was elected to the Order of the Coif. Danielle earned her B.A. in economics from Boston College.

Representative Matters

  • Smith & Nephew PLC in their acquisition of Integrity Orthopaedics, Inc., a commercial developer of rotator cuff repair technology.
  • Cubic Corporation in its US$3.0 billion sale to Veritas Capital and Evergreen Coast Capital.
  • Telephone and Data Systems, Inc. (NYSE: TDS) in the US$4.4 billion sale of United States Cellular Corporation’s (NYSE: USM) wireless operations and select spectrum assets to T-Mobile US, Inc. (NASDAQ: TMUS), including a combination of cash and up to approximately US$2 billion of assumed debt.
  • Kemper Corporation in its acquisition of publicly traded nonstandard auto insurer Infinity Property and Casualty Corporation for approximately US$1.6 billion.
  • MidCap Financial in connection with a number of transactions, including (a) an approximately US$800 million capital raise in 2021 and (b) an approximately US$300 million preferred capital raise in 2020.
  • CDW Corporation (NASDAQ: CDW) in its acquisitions of Mission Cloud, Sirius Computer Solutions, Locus Recruiting and Enquizit.
  • CBOE Global Markets, Inc. (CBOE: CBOE) in its acquisition of Eris Digital Holdings, LLC.
  • AptarGroup, Inc. (NYSE: ATR) in its acquisition of Noble International.
  • Stryker Corporation (NYSE: SYK) in its acquisition of TMJ Solutions, LLC.
  • RTI Surgical, Inc. in the acquisition of all outstanding equity interests of Paradigm Spine, LLC valued at up to $300 million.
  • Surgalign Holdings Inc. in its acquisition of Holo Surgical Inc.
  • RTI Surgical Holdings, Inc. in connection with the sale of its OEM business to an affiliate of Montagu Private Equity LLP, a leading European private equity firm, for a purchase price of US$440 million. The transaction closed July 20, 2020.
