JAKOB NÜETZEL advises German and international clients on a broad range of domestic and cross-border tax matters. His practice focuses on the tax structuring of private equity and restructuring transactions, complex M&A deals, and the formation and operation of investment funds.
Jakob regularly supports clients throughout the full transaction lifecycle, providing strategic tax guidance on structuring, negotiation, implementation, and post-closing considerations. He has particular experience navigating the tax aspects of multinational investment structures, co-investment and management participation programs, and distressed or special-situation transactions.
Jakob also counsels clients on ongoing tax compliance, risk management, and operational tax issues.
Before joining Sidley Austin, Jakob was part of the tax team at another leading international law firm, where he advised on a wide range of investments in alternative investment funds as well as setting-off investment fund structures.

Recent experience includes advising:
- Rivean Capital on the acquisition of Engelmann, an international innovation leader in smart submetering technologies for heat, cooling, and water measurement.
- Allianz, Bayerische Versorgungskammer, SparkassenVersicherung, Versicherungskammer Bayern and Provinzial on investments in alternative investment funds either directly or indirectly via intra-group bundling vehicles or repackaging structures.
- Ardian, MEAG and AGI with respect to structuring and establishment of various investment funds.
