Biography
JOE ZENRUFFINEN focuses his practice on acquisition financing, cash flow-based lending, and asset-based lending in both syndicated financings and direct lending transactions. In addition, Joe has experience with debtor-in-possession financings, exit financings, project financings, warehouse lending, fund financings, and margin loans. Joe represents both borrowers and financial institutions in domestic and international transactions.
Prior to joining Sidley, Joe worked as a finance associate in the New York office of another international law firm.
Joe earned his J.D., magna cum laude, from Fordham University School of Law. Prior to law school he graduated with a B.A. in music from Dartmouth College.

- WhiteHawk Capital Partners in connection with providing financing to newly formed acquisition vehicles of Brigade Capital Management, LP and Macellum Capital Management, LLC.
- A global financial services firm in the restructuring and take-private of View, Inc., a leading producer of smart glass, pursuant to a comprehensive prepackaged Chapter 11 plan of reorganization that reorganized over US$360 million in funded debt.
- The London office of a Canadian private credit provider, as lender, in a net asset value (NAV) facility in support of a single portfolio company supported by all of the investments of the borrower parent fund; a first-of-its-kind transaction for this client.
- Liberty Media Corporation in connection with the structuring and documentation of a US$1.750 billion margin loan agreement secured by shares of SiriusXM Holdings Inc. (SIRI) with a total value in excess of US$3 billion.
- Coastal Waste & Recycling Inc., a portfolio company of Macquarie Asset Management, in its acquisition of Pro Disposal USA, LLC, a vertically integrated waste hauling and recycling company based in Ridgeland, South Carolina with operations in South Carolina and Georgia.
- Assist Armis, Inc. in connection with venture financing providing up to three tranches of term loans.
- A borrower in connection with US$500 million margin loan.
- Northlane Capital Partners in its investment in Infobase.
- Springstone, LLC as the borrower in connection with a US$35 million asset-based loan secured by the company's receivables and related assets.
- Pharmaceutics International, Inc. in connection with its US$8 million term loan financing from WX Management Limited, a Bahamian lender.
- A Tailwater-led consortium in the acquisition of Verdad Resources Holdings LLC, an independent oil and gas exploration and development company with assets in the DJ Basin of Colorado and Wyoming.
- Carlin Consumer Health in the financing of its acquisition of Infirst USA Holdings, LLC.
- Callodine Group, LLC in the financing of its acquisition of investment manager Manning & Napier, Inc.
- OMERS Capital Markets in connection with a term loan made to a public biotech company.
- Western and Southern Financial Group in connection with a refinancing of its US$500 million revolving credit facility.
- A banking institution in connection with term loans and a revolving credit facility extended to a physical therapy business.
- A fund managed by Macquarie Asset Management in its agreement to acquire a 40% equity stake in select U.S. Gulf Coast infrastructure assets from Dow Inc., with an option to increase its equity stake to 49% within six months after closing for initial cash proceeds of approximately US$2.4 billion with the potential to receive up to approximately US$3 billion in total.
- The administrative agent and lenders in connection with a multi-tranche and multi-currency term loan and asset-based revolving credit facilities for a leading chemical manufacturing company.
- The administrative agent and lenders in connection with a debtor-in-possession financing and subsequent exit financing for a major retail chain.
- A publicly traded, international mining company in connection with its US$700 million senior secured credit facilities.
