Sidley represented Shamrock Capital, a Los Angeles-based investment firm specializing in media, entertainment, communications, and related sectors, in connection with its strategic investment in acquiring a participation in New Regency, a leading independent entertainment company. The transaction supports New Regency’s ongoing initiatives related to its acclaimed film and television library.
In addition, a standalone production credit facility was entered into by New Regency’s production arm to borrow in connection with new film, television, and media projects – including building on its past IP to create innovative content, alongside a new credit facility supporting its library. The credit facilities were provided by JPMorgan Chase, and the Sidley team advised Shamrock on the interplay between the credit facilities and Shamrock’s strategic investment in New Regency.
New Regency’s library includes award-winning and commercially successful titles such as The Revenant, Birdman, 12 Years a Slave, Bohemian Rhapsody, Fight Club, and the beloved television series Malcolm in the Middle. The partnership with Shamrock Capital will enhance New Regency’s ability to further monetize its iconic content library and pursue strategic growth opportunities across platforms.
The Sidley team was led by Matthew Thompson and Evie Whiting (Entertainment, Sports and Media), and included Tracy Smith, Ashleigh Stanley, Kate McMahon, Tori Spencer, Sydney Robles, and Blake Winter (M&A); James Crooks, Taggio Price, and Megan Bradley (Global Finance); Genevieve Weiner and Anna Gumport (Restructuring); and Rachel Kleinberg and Jonathan Westreich (Tax).
