Arthur E. Adler

ARTHUR ADLER focuses his practice on representing clients in corporate matters, including public mergers and acquisitions, private equity transactions, corporate governance, leadership transitions, and shareholder activism matters.

Arthur holds an LL.M., magna cum laude, from Duke University School of Law; a master’s degree from Paris-Panthéon-Assas University; an LL.M. and Graduate Diploma in Law from The University of Law; and a BSc in economics from University College London. While attending Duke University School of Law, Arthur served as an editor of the Duke Law Journal of Comparative and International Law.

Prior to joining Sidley, Arthur worked at a French law firm where he represented activist hedge funds in shareholder activism mandates. He is fluent in French.

• Beacon Roofing Supply in its unsolicited offer from QXO.
• National Vision Holdings, Inc. in connection with its cooperation agreement with Engine Capital, LP.
• nCino, Inc. in connection with its cooperation agreement with HMI Capital Management, L.P.
• The special committee of the board of directors of Nordstrom, Inc. in its US$6.25 billion acquisition by certain members of the Nordstrom family and El Puerto de Liverpool, S.A.B. de C.V.
• Oportun Financial Corporation in connection with its cooperation agreement with Findell Capital Management LLC .
• BJ’s Restaurants, Inc. in connection with its cooperation agreements with Fund 1 Investments and PW Partners, LLC.
• TowerBrook Capital Partners L.P. in the acquisition of CBTS from altafiber.
• Alkermes plc in its successful proxy contest defense against activist hedge fund Sarissa Capital.
• Special Committee of the Board of Directors of Purple Innovation, Inc. in its defense of an unsolicited takeover proposal and activism campaign from Coliseum Capital Management.
