Sidley Advises Gates Industrial Corporation on Redomiciliation to Bermuda
Sidley represented Gates Industrial Corporation plc (NYSE: GTES) in its redomiciliation from England and Wales to Bermuda through a statutory scheme of arrangement approved by the High Court of Justice of England and Wales. The scheme, detailed in a definitive proxy statement filed with the United States Securities and Exchange Commission (SEC) on May 27, 2026, had previously been approved by shareholders on June 25, 2026. The common shares of the new Bermuda company, Gates Industrial Corporation Ltd., began trading on the New York Stock Exchange on July 20, 2026 under the same ticker, “GTES.”
