CHRIS BURUSCO is counsel in Sidley’s Financial Institutions group. His practice focuses on insurance regulatory and corporate matters for insurers, insurance intermediaries and institutional investors.

Chris routinely advises on mergers and acquisitions involving regulated insurance entities, insurance holding company system compliance matters, organization and licensing of insurance entities, non-admitted insurance issues, financial and market conduct examinations and reinsurance transactions, among other corporate transactions and insurance regulatory matters. He also represents non-insurance clients, such as banks, private equity funds, retailers, mortgage lenders, benefit administrators and professional employer organizations, with respect to insurance company and producer relationships and transactions.

Examples of Chris’ experience include representation of:

• Ryan Specialty Group on several acquisitions, including its US$1 billion acquisition of US Assure.
• Nassau Financial Group, a Golden Gate Capital portfolio company, in a strategic partnership with Fortress Investment Group, including a US$130 million equity investment by Fortress in Nassau and a long-term investment management agreement.
• Athene Holding on insurance regulatory matters in its proposed merger with Apollo Global Management, in an all-stock transaction creating a pro forma US$29 billion market cap company (with Athene valued at approximately US$11 billion).
• TowerBrook on insurance regulatory matters in the US$586 million acquisition of ProSight.
• Farmers Insurance Exchanges jointly with Farmers Group, Inc. on insurance regulatory matters in the US$3.94 billion acquisition of MetLife's property and casualty business, MetLife Auto & Home.
• Athene Holding Ltd. on insurance regulatory matters in its US$1.55 billion combination common share exchange with and sale of common shares to Apollo Global Management, Inc. The transaction also involved the elimination of Athene’s multi-class share structure.
• Apollo Global Management, Inc. on insurance regulatory matters in connection with the acquisition of Catalina Holdings (Bermuda), Ltd.
• Apollo Global Management, Inc. on insurance regulatory matters in connection with the acquisition of Fortress Investment Group’s ownership in OneMain Holdings, Inc. for  US$1.4 billion.
• ProAssurance Corporation on insurance regulatory matters in its US$450 million (plus contingent consideration of up to US$150 million) acquisition of NORCAL Insurance Company.
• Markel Corporation on insurance regulatory matters in connection with its acquisition of SureTec Financial Corp.
• Health Net Inc. on insurance regulatory matters in connection with its US$6.8 billion acquisition by Centene Corp.
• Reinsurance Group of America, Incorporated on insurance regulatory matters in connection with its acquisition of Aurora National Life Assurance Company.
• FFL Partners on insurance regulatory matters in its acquisition of ProService Hawaii Business Development Corp.
