Texas Funds Forum Series

Sidley’s inaugural Texas Funds Forum will bring together perspectives from fund managers, investors, regulators, lenders, and portfolio company management teams to examine the classic “one manager, multiple clients, one asset” conflict problem.

Through an interactive discussion, panelists will explore how conflicts arise across the life of a single investment—from acquisition and ownership through financing and exit—and share practical considerations for identifying, navigating, and managing competing duties to multiple clients.

Topics will include:

• Multiple Vehicles in Single Asset - Navigating overlapping or competing interests among clients
• Acquisitions - Identifying and managing conflicts when allocating an investment and its expenses among clients
• Ownership and Financing - Understanding conflict considerations in connection with financing, recapitalizations, follow-on capital, and related-party transactions
• Divestitures - Addressing conflicts in connection with an asset sale, including a sale to a continuation vehicle
