Sidley successfully represented AT&T in connection with its US$40 billion spinoff of Warner Media to Discovery, Inc. Sidley provided strategic counseling on competition-related regulatory issues, and also assisted in obtaining regulatory approval of the transaction. This development allows AT&T to refocus its growth strategy on its wireless work, where they expect to significantly increase their investments in the expanding areas of 5G and fiber. Sidley also represented AT&T in its initial 2018 investment in Time Warner, a US$85 billion transaction which created Warner Media.
The transaction was led by partner Robert Keeling, and managing associate David Goldenberg, as well as counsels Kristen Knapp, Marc Korman, Ray Mangum, and Eli Nelson.
