Sidley Serves as Regulatory Counsel to The Cigna Group in US$3.7 Billion Sale of Medicare Businesses and CareAllies to HCSC

Sidley is representing publicly traded global health company The Cigna Group on insurance regulatory matters in the sale of its Medicare Advantage, Cigna Supplemental Benefits, Medicare Part D, and CareAllies businesses to Health Care Service Corporation (HCSC) for a total transaction value of approximately US$3.7 billion.
The transaction is expected to close in the first quarter of 2025, subject to receipt of applicable regulatory approvals and other customary closing conditions.
This market-shaping deal represents Sidley’s ability to guide clients in their most significant health insurance regulatory and transactional matters.
The Sidley team is led by Stephanie Dobecki, Andrew Holland, and Jon Kelly (Financial Institutions – Insurance), and includes Alexander Koster, Jacob Grossman, and Jennifer Chae (Financial Institutions – Insurance).
