Sidley served as U.S. counsel to Virgin Australia Holdings Limited in connection with its AUS$685 million initial public offering (IPO) of ordinary shares on the Australian Securities Exchange. The IPO was underwritten by Barrenjoey Markets Pty Limited, Goldman Sachs Australia Pty Limited, and UBS Securities Australia Limited.
This was the first major IPO in Australia in 2025 and the largest IPO by an airline in the Asia-Pacific region in a decade. The offering was well received by the market, with the share price closing 11.4% above the offer issue price on the first day of listing.
The deal team was led by Mimma Barila and included Kristina Kang, Kim Robertson, and Andy Loo. Nicholas Brown and Alvin Wang advised on tax matters, and Carla Teodoro advised on Investment Company Act matters.
