Sidley Represents Medica in Its Agreement With UCare to Preserve Health Coverage in Minnesota

Sidley is representing Medica, a Minnesota-based nonprofit health plan with more than 1.4 million members across nine states, in its definitive agreement to acquire key contracts and assets of UCare, a provider of health coverage and services to Minnesota residents for nearly 40 years.

Under the agreement, which remains subject to customary closing conditions and regulatory approvals, UCare members enrolled in 2026 Medicaid and Individual and Family Plans will continue to receive uninterrupted coverage and services.

The transaction is expected to close in the first quarter of 2026.

The Sidley team was led by Andrew Holland (Insurance) and Michael Devins (Insurance and M&A) and included Tu Tu and Lucas Grisham (Insurance and M&A).
