Sidley Advises Qualcomm on Warrant Agreement With Amazon

Sidley represented Qualcomm Incorporated in connection with its issuance of a warrant to Amazon as part of a strategic collaboration between the companies to build next-generation AI data center infrastructure. In connection with the collaboration, Qualcomm issued a warrant to an Amazon affiliate to acquire up to 25,000,000 shares of Qualcomm common stock, with vesting tied to certain commercial arrangements, purchase orders, and actual purchases by Amazon.

The deal team was led by D. Scott Bennett and Ellen H. Park, and included Danielle N. Walling and Henry Dickinson (Capital Markets), with support from Laura Collins and Rosanna Connolly (Antitrust and Competition); Greg Featherman (Tax); and Jim Mendenhall (Global Arbitration, Trade and Advocacy) on the specialist side.
