Biography

C.J. BURTON represents technology, life sciences, entertainment and media companies, as well as brands, founders, and creators across beauty, personal care, and wellness.

C.J.’s practice focuses on all aspects of corporate transactions, including domestic and cross-border mergers and acquisitions, joint ventures, equity investments, commercial licensing, and corporate restructurings.

Prior to rejoining Sidley, C.J. served as a senior counsel at Xperi Inc. (NYSE: XPER), a leading technology and entertainment company whose software powers the next generation of smart devices, connected cars, and other consumer entertainment technologies. In this role, C.J. functioned as a corporate generalist with a focus on complex commercial licensing, securities, M&A, and debt finance matters. He previously served as an associate in Sidley’s M&A and Private Equity group prior to joining Xperi.

C.J. received his J.D. from UCLA School of Law. He earned his B.A., cum laude, from University of California, Los Angeles.

  • Naturium in its US$355 million acquisition by e.l.f. Beauty, Inc. 
  • Owners of the Premier Hockey Federation (PHF) in the launch of a new North American women’s professional hockey league. 
  • Audeze LLC, an audio technology brand, in its acquisition by Sony Interactive Entertainment LLC. 
  • Avid Technology, Inc. (NASDAQ: AVID) in its all-cash US$1.4 billion acquisition by an affiliate of STG. 
  • Techniks Tool Group, a portfolio company of Z Capital Partners, in its acquisition of the Eppinger Group.
  • StructionSite, a provider of software configuration management and tracking tools, in its acquisition by DroneDeploy, an aerial-reality-capture firm.
  • Bridger Aerospace Group Holdings, LLC in its business combination with SPAC Jack Creek Investment Corp. (NASDAQ: JCIC), valuing Bridger at an implied US$869 million pro forma enterprise value.
  • Perforce Software, Inc., a provider of solutions to enterprise teams backed by Francisco Partners and Clearlake Capital Group, L.P., in its acquisition of Puppet, an automation software platform which enables users to deliver, update, monitor, and secure software across physical and virtual machines.
  • Arrowroot Capital in its minority investment in Ayla Networks, Inc., a leader in enterprise Internet of Things (IoT) platforms that accelerates digital transformation of consumer brands and internet service providers (ISPs).
  • Team Technologies, Inc., back by Clearlake Capital Group, L.P., in its acquisition of iiMED Medical Solutions, L.L.C. from ACON Investments.
  • Precisely Software Incorporated in its acquisition of Anchor Point Group, LLC.
  • Precisely Software Incorporated in its acquisition of CEDAR Document Technologies, Inc.
  • Wheel Pros, LLC, a portfolio company of Clearlake Capital Group, L.P. in its acquisition of Driven Lighting Group from Kian Capital.
  • Wheel Pros, LLC in its acquisition of Throtl, Inc.
  • Mann+Hummel GmbH in its equity investment in CleanAir, Inc. (d/b/a Pamlico Air), a provider of quality air filtration products and services.
