Biography

JUAN CAMARENA PAZ focuses his practice on project finance, project and portfolio M&A, tax equity investments and transfers, joint ventures, and other related transactions in the renewable energy market. Juan has broad experience counseling market-leading private equity and strategic investors, governmental entities, and major developers in connection with conventional and alternative energy projects and oil and gas projects in all stages of their life cycle.

Prior to joining Sidley, Juan worked as a foreign associate in the New York office of another global law firm. Before coming to the United States, Juan practiced at a leading law firm in Mexico, focusing his practice on energy and infrastructure transactions.

While obtaining his LL.M. at The University of Texas School of Law, Juan was a member of the Texas Journal of Oil, Gas, and Energy Law.

Juan is fluent in Spanish.

Experience

Representative Matters

  • A consortium, headed by APG Asset Management N.V. (APG), on behalf of the largest Dutch pension fund, ABP, and Australian Retirement Trust (ART), in the acquisition of Riverstone Holdings’ equity stake in Pattern Energy Group LP (pending).
  • Ørsted in its divestment of a 50% equity stake in three U.S. onshore projects to Energy Capital Partners for US$572 million.
  • Calibrant Energy, a Macquarie Asset Management portfolio company, in their acquisition of a 100% interest in Enel X Storage, LLC from Enel X North America, Inc.
  • RBC Community Investments in the PTC tax equity financing of the 240MW Appaloosa Solar I project developed by Greenbacker Capital.
  • RBC Community Investments in the ITC tax equity financing of the 100MW Blake solar project and 160MW Elizabeth solar project developed by Opdenergy.
  • RBC Community Investments in the ITC tax equity financing of several residential solar portfolios developed by Sunrun.
  • An international oil and gas company in the regulatory project analysis for midstream infrastructure development required to evacuate production from a deep water offshore oilfield in Mexican waters.
  • A Mexican contractor for Petroleos Mexicanos, for the development and construction of fuel storage infrastructure for the Dos Bocas Refinery.

Some of the above matters were handled prior to joining Sidley.
