Biography

JOSEPH CHUNG focuses his practice on corporate and securities law matters, with an emphasis on capital markets transactions, public company reporting, and corporate governance. He represents issuers, underwriters, and other transaction participants in registered and unregistered securities offerings, including initial public offerings, follow-on common and preferred equity offerings, and debt offerings. He also advises clients on public mergers and acquisitions, business combination transactions, and other complex corporate finance matters. Joseph assists management teams, directors, and employees with the transition from private to public company status.

Joseph regularly counsels public companies on SEC and stock exchange reporting, and disclosure and governance requirements, including the preparation of periodic reports, proxy statements, annual reports, and registration statements. His experience also includes advising on shareholder meetings, beneficial ownership and insider transaction reporting, Section 16 compliance, stock exchange listings, insider trading policies, and board and committee charters. He has represented clients across a broad range of industries, including life sciences, retail, technology, healthcare, insurance, renewable energy, oil and gas, and financial services.
