Biography

DI DUAN’s practice focuses on energy, finance, and corporate matters.

Di graduated from the University of Texas School of Law in 2023. During law school, she participated in several pro bono activities, including the Immigration Law Clinic where she assisted clients with asylum immigration applications. Di also served as staff editor for the Texas International Law Journal, as well as the Texas Journal of Oil, Gas, and Energy Law.

Prior to attending law school, she obtained an LL.B. from the China University of Political Science and Law, graduating in the top 10% of her class.

Di previously studied in Iceland as an exchange student where she focused on international law and arbitration.

She is a native Chinese speaker.

  • Neuberger and LuminArx in the financing of US$165 million Series G preferred equity investment in Upgrade.
  • Ares Management Corporation in its financing of US$1.1 billion acquisition of Meade Pipeline Co LLC.
  • Amberjack Capital Partners and its portfolio company Entegra, a premium technology company specializing in ultra-high-resolution magnetic flux leakage in-line inspection services, in its acquisition by NDT Global, a leading provider of advanced diagnostic inspection and integrity solutions for the energy sector.
  • Archrock Partners in connection with an increase in commitments under its senior secured credit facility.
  • Coastal Waste & Recycling, Inc. in its acquisition of Southwest Waste, a leading independent waste-hauling and recycling company on Florida’s west coast.
  • Pinsly Railroad Co. in its proposed acquisition of Hondo Railway LLC, a short line railroad company in Hondo, Texas.
  • Flowco MergeCo LLC, in its refinancing of existing ABL facilities in connection with its reorganization, and the new US$700 million ABL revolving facility.
  • Durango Permian LLC, a portfolio company majority owned by funds managed by Morgan Stanley Energy Partners, in a senior secured credit facility valued at US$325 million.
  • J.P. Morgan Securities LLC, co-lead structuring advisor, placement agent, and secured hedge provider, in a US$640 million private offering of notes in an asset-backed securitization issued by Maverick Natural Resources, LLC.
  • FP Railcar Holdings LLC, as Initial Borrower, and FP Railcar LLC, as Additional Borrower under a loan agreement extended by Deutsche Bank AG, New York Branch, as Administrative Agent, to facilitate the acquisition of certain assets from Greenbrier Leasing Company LLC.
