Jonathon’s recent experience includes advising:

• Funds managed by affiliates of Apollo Global Management, Inc. in:
  –  the acquisition by Evri, an Apollo portfolio company, of DHL eCommerce UK, the e-commerce logistics specialist of DHL Group;
  –  the acquisition of Evri, one of the UK’s largest parcel delivery companies, from Advent International;
  –  the acquisition and take-private of Purmo Group (HEL: PURMO);
  –  the successful launch of a 50:50 joint venture with illimity Bank S.p.A., aimed at investing up to €500 million in NPL and UTP loans secured by real estate assets in  Italy; and
   – its agreement to acquire Miller Homes, one of the UK’s leading homebuilders.

• The Carlyle Group in:
   –  a hybrid financing and investment into a UK sponsor-backed financial services business; and
   –  a hybrid investment by Bixby Wealth Solutions, an arm of Moontower Group (a specialist investor in independent wealth management firms backed by Carlyle’s Global Credit Business), in wealth manager James Hambro and Partners.

• Stonepeak on its agreement with the AA, the leading provider of roadside assistance services in the UK and a successful insurance business, and the AA’s majority shareholders, TowerBrook Capital Partners and Warburg Pincus. Per the agreement, Stonepeak will invest £450 million in the AA through a combination of common and preferred equity at an enterprise value of approximately £4 billion.

• A U.S. private equity sponsor in:
   – its €3.17 billion carve-out acquisition of a global construction chemicals business from a German public company;
   – its portfolio company’s bolt-on acquisition of a leading clay roof tile business in Portugal;
   – its portfolio company’s multiple bolt-on acquisitions, including of one of the largest manufacturers of professional manual espresso machines in Spain and a leading manufacturer of coffee machines in North America;
   – the acquisition of a portfolio of loans secured on shipping vessels;
   – the acquisition of a portfolio of non-performing loans in Europe; and
   – its portfolio company on a series of UK-based hotel group acquisitions.

• Eldridge Industries, a leading investment firm and partner in Fulwell 73, in its merger with the SpringHill Company.
• Multiple special situations investors on their joint acquisition of Iona Energy, out of an administration and CVA and related financing, co-investment, and management incentive arrangements.
• A FTSE-listed company on its acquisition of a telecom tower portfolio in Oman.
• A principal investing arm of an Australian investment bank on its acquisition and investment in a portfolio of UK solar projects.
• An investor in relation to the acquisition of a leading provider of construction services across the Sultanate of Oman, and subsequent advising on the disposal of the same target.
• A U.S. private equity sponsor on its sale of Appalachian natural gas assets to an AIM-listed UK PLC for cash and stock.
