SCOTT POLLOCK’s practice includes advising clients on a broad range of matters relating to investment funds, tax credit partnerships, M&A transactions, joint ventures, and corporate reorganizations. Scott’s practice routinely involves advising on the tax aspects of:

  • The formation and operation of hedge funds, private equity funds, and venture capital funds
  • Investment management company ownership and compensation structures
  • Investments by U.S. taxable, U.S. tax-exempt, and non-U.S. investors in all varieties of private fund investments and secondary transactions
  • Investing and trading in cryptocurrencies and other digital assets
  • Representing investors and syndicators in tax credit partnerships, particularly low-income housing tax credit and historic rehabilitation tax credit partnerships
  • Representing buyers and sellers in a wide variety of M&A and joint venture transactions
  • Representing domestic corporations in spinoff and other corporate reorganizations transactions

  • Insurance brokerage firm IMA Financial Group, Inc. in its equity recapitalization transaction, resulting in a company valuation of US$4 billion.
  • LSV Advisors, LLC, a leading New York-based special situations secondaries firm, in a GP-led strategic transaction for an investment fund managed by Tene Capital.
  • Gemspring Capital Management in the closing of Gemspring Growth Solutions II with US$1.1 billion of capital commitments,
  • Lighthouse Investment Partners, LLC in its acquisition of the Pamli Global Credit Strategies business from Fir Tree Capital Management.
  • RoundShield Partners on a strategic transaction pursuant to which Harrison Street Asset Management, the investment management division of Colliers, acquired a majority stake in RoundShield Partners.
  • Azimut Group with its agreement to acquire North Square Investments, LLC (NSI), a multi-boutique asset management and distribution platform.
  • Citigroup in its sale of Citi Global Alternatives to iCapital, a financial services company.
  • Azimut Alternative Capital Partners in connection with its acquisition of a controlling, majority stake in HighPost Capital, a growth-focused private equity investment manager formed by the Bezos and Moross families.
  • CBOE Global Markets, Inc. (CBOE: CBOE), a global exchange operator focused on equity derivatives, in the US$300 million sale of its Australian and Canadian equity exchanges to TMX Group Limited.
  • Verition Fund Management in its sale of a minority equity interest to, and strategic partnership with, Affiliated Managers Group, Inc. (AMG).
  • BHMS Investments and Inszone Insurance in Strategic Partnership with Lightyear Capital.
  • Represented Walgreens Boots Alliance in connection with VillageMD’s US$8.9 billion acquisition of Summit Health-CityMD, a provider of primary, specialty, and urgent care.
  • Represented Veritiv Corporation in the sale of its Veritiv Canada, Inc. business to Imperial Dade.
  • Represented Hagerty in its US$3.13 billion business combination with Aldel Financial Inc., a special purpose acquisition company.
  • Represented Altamont Capital Partners in its US$150 million investment in Fleming Holdings.
  • Represented RTI Surgical Holdings, Inc. in connection with the sale of the company’s OEM business to Montagu Private Equity.
  • Represented Tock, Inc. in its more than US$400 million sale to Squarespace.
