Biography

ALEXANDER THOMPSON’s practice focuses on energy and infrastructure matters.

Alex received his J.D. from Southern Methodist University Dedman School of Law in 2023, where he graduated cum laude. He served as articles editor of the SMU International Law Review and was listed on both the Dean’s List and Pro Bono Honor Roll during this time.

Prior to law school, Alex earned a BBA in finance with a minor in Spanish from Texas A&M University where he graduated, with honors, in 2020.

Alex is an Eagle Scout Award recipient of the Boy Scouts of America and speaks fluent Spanish.

Representative Matters

  • Neuberger and LuminArx in the US$165 million Series G preferred equity investment in Upgrade.
  • FTAI Infrastructure, Inc. in its US$1.05 billion acquisition of Wheeling Corporation and its railroad subsidiaries, Wheeling & Lake Erie Railway Company and Akron Barberton Cluster Railway Company.
  • A consortium, headed by APG Asset Management N.V. (APG), on behalf of the largest Dutch pension fund, ABP, and Australian Retirement Trust (ART), in the acquisition of Riverstone Holdings’ equity stake in Pattern Energy Group LP (pending).
  • Stonepeak Infrastructure Partners in its acquisition of Fleet Companies, a regional trailer dealership and leasing company. Headquartered in Tennessee, Fleet provides integrated offerings across dealership, leasing, drop yard, and maintenance operations.
  • H.I.G. Capital in its acquisition of a controlling interest in Greenflash Infrastructure, LP. Greenflash Infrastructure is a grid-scale energy storage and power generation company.
  • Stonepeak Infrastructure Partners in the sale of its portfolio company, WTG Midstream Holdings LLC – the largest private Permian gas gathering and processing business with assets located in the core of the Midland Basin – to Energy Transfer LP. for US$3.25 billion.
  • Management teams and private equity fund sponsors in various transactions to form new portfolio companies.
  • Morgan Stanley Energy Partners and its portfolio company, Durango Midstream LLC, a leading natural gas gathering, processing, and marketing company, in connection with the sale of Durango Midstream’s subsidiary, Durango Permian LLC, which owns and operates a world-class midstream business in New Mexico, to Kinetik (NYSE: KNTK), a midstream company operating in the Delaware Basin.
  • AES Puerto Rico in successful comprehensive company-side restructuring with rights offering, conversion of municipal debt to preferred, restructured bond terms and restructured offtake terms with the commonwealth of Puerto Rico and approvals in coordination with four regulatory agencies.
  • Enterprise Products Partners L.P. in its affiliate’s acquisition of natural gas salt dome storage caverns in Wharton County, Texas from an affiliate of Republic Financial Corporation.
