Biography

PEIYU YU focuses her practice on providing strategic business and legal advice to emerging and high-growth companies, and venture capital investors, particularly in the technology and life sciences sectors. She also advises public companies, multinational corporations, and strategic investors across a variety of industries.

Peiyu’s work with company-side clients encompasses a broad spectrum of corporate matters, including venture financings, corporate governance, equity compensation, mergers and acquisitions, and public offerings. She also represents investors with diverse strategic goals — ranging from venture capital and growth-stage investors to corporate venture funds and sovereign wealth funds — and advises such investors on their initial investments, follow-on investments, and ongoing management of their portfolio companies.

With extensive experience supporting clients throughout the full life cycle of a business, Peiyu has developed a deep understanding of the evolving challenges companies and investors face at each stage of growth. This insight enables her to tailor her legal advice to meet clients' needs as they navigate dynamic market conditions and macroeconomic shifts.

During law school, Peiyu served as co-president of the China Law Association and communication director of the Environmental Law Society and was a fellow of the Illinois Public Interest Law Initiative. She was an active member of the Negotiation and Mediation Clinical Program and Harvard Environmental Law Review. She is a member of the Telluride Association, a nonprofit organization that creates free educational programs for youth.

Representative Matters

  • Represented ServiceTitan, a leading software provider for the trades, in:
    • its acquisition of Aspire Software, a landscaping business management software provider; and
    • its acquisition of FieldRoutes, a cloud-based and mobile SaaS provider in the pest control and lawn care industry.
  • Represented Shenzhen Longsys Electronics Co., Ltd. in its acquisition of an 81% interest in SMART Modular Technologies doBrasil – Indústria e Comércio de Componentes Ltda.
  • Represented Tenyx, a Palo-Alto based startup and developer of AI-powered voice agents that create natural and engaging conversational experiences, in its sale to Salesforce
  • Represented Roche in its investment in Freenome, a multiomics platform based life sciences company, with aggregate proceeds from Roche and other investors in excess of US$840 million.
  • Represented GIC Pte. Ltd. in its investment in multi-day energy storage company Form Energy’s US$450 million Series E Preferred financing.
  • Represented WatchGuard Technologies in its buyout by Vector Capital.
  • Represented Prothena Corporation plc, late-stage clinical biotechnology company, in its US$183.6 million follow-on equity offering.
  • Represented Outset Medical, a medical technology company, in its US$212 million secondary public offering.
  • Represented United Airlines Ventures, as part of a consortium, in the US$25 million Series A financing for Viridos, Inc.
  • Represented Salt Security, an API vulnerability and protection platform, in:
    • its US$140 million Series D financing, valuing the company at US$1.4 billion, led by Alphabet’s CapitalG and with participation from Sequoia Capital, Tenaya Capital, S Capital VC, Advent International, Alkeon Capital, and DFJ Growth; and
    • its US$70 million Series C funding round, led by Advent, with participation from Alkeon Capital and DFJ Growth.
  • Represented ReCode Therapeutics in its US$50 million extension to its Series B financing, for a total of US$260 million in Series B funding.
  • Represented Khosla Ventures in several venture capital investments including in:
    • its role as the lead investor in the US$10 million Series A financing round of Rabbit Inc.; and
    • its role as the lead investor in the US$9 million Series Seed financing of Realta Fusion, Inc., an energy company developing the technology to produce industrial heat and power from fusion energy.
  • Represented BMW i Ventures in several venture capital investments, including in Ampeco, the creator of an electric vehicle charging station software platform.
  • Represented Sequoia Capital Heritage Fund in connection with private fund investments and co-investment transactions.
  • Represented Ocean Avenue Capital Partners in connection with strategic co-investment transactions.
