Sidley Advises Jefferies on the US$175 Million Upsized QIP of Belrise Industries Limited

Sidley advised Jefferies, the placement agent, on the qualified institutions placement (QIP) of shares of Belrise Industries Limited.

The offering launched for ₹1,200 crore (US$120 million) and was upsized by over 40% following strong investor demand, ultimately raising ₹1,700 crore (US$175 million).

The transaction builds on Sidley’s recent work on Belrise Industries’ capital markets transactions. In May 2025, Sidley represented Axis Capital, HSBC, Jefferies, and SBI Capital Markets in connection with Belrise Industries’ US$250 million initial public offering (IPO) in May 2025. The IPO received an overwhelming response, with an overall subscription of 43.14 times. Sidley subsequently represented Jefferies, as broker, in connection with the sale of equity shares of Belrise Industries by certain shareholders through the block deal mechanism in December 2025.

Belrise Industries is an Indian automotive component manufacturer providing safety-critical systems and engineering solutions across two-wheelers, three-wheelers, four-wheelers, commercial vehicles, and agrivehicles. With capabilities in precision sheet metal pressing and fabrication, the company serves both electric and internal combustion engine platforms and holds a significant market share in India’s two-wheeler metal components segment.

The Sidley team was led by Manoj Bhargava and included Siddharth Urs and Dhanush Dinesh, with support from Rachna Talati (all Singapore) as well as Daniel O’Shea, Carla G. Teodoro, Robert M. Kreitman, and Alvin Wang (all New York).
