Sidley Represents Underwriters in Connection With GSK’s US$6.5 Billion Senior Notes Offering

Sidley represented the underwriters in connection with GlaxoSmithKline Capital Inc.’s offering of US$6.5 billion aggregate principal amount of senior notes across six tranches, each fully and unconditionally guaranteed by GSK plc. GSK used the net proceeds from the offering to repay outstanding amounts under its acquisition facility related to its recently completed acquisition of Nuvalent, Inc., and for general corporate purposes.

The Sidley team was led by Capital Markets partners Rob Ryan and Ed Petrosky, and included Nick Sgroi, Molly Lu, and law clerk Christine Seo, with Robert Kreitman and Brandon S. Chiaravalle advising on tax matters, all based in Sidley’s New York office.
