MAHESH DARYANANI represents private equity sponsors, their portfolio companies and corporate borrowers in connection with leveraged finance transactions and a wide range of financing matters at every level of the capital structure, with a particular focus on complex cross-border acquisition financings, syndicated loan financings, private credit financings, refinancings, restructurings, and general banking matters.

Mahesh has also completed a secondment at Vitruvian Partners’ in-house legal team.

• A global alternative asset manager on the issuance of £150 million PIK notes in connection with the sale of their stake in a British provider of fall protection and safety access.
• Permira on its €1 billion unitranche facility and subsequent incremental facilities in relation to its acquisition of GGW Group GmbH, a German insurance brokerage.
• A leading European private equity sponsor on:
  - the acquisition financing and related matters on its investment in a Belgian HR solutions group and a Swedish property management group
  - the annual recurring revenue-based acquisition financing for its investment in a Dutch invoicing SaaS business
• A sovereign wealth fund on the financing matters in connection with its co-investment in an EU-based insurance group and subsequent restructuring processes.
• A European private equity sponsor on its €167.5 million unitranche facility in connection with its acquisition of a Finnish supply chain SaaS business.
