Biography
ALAN GRINCERI’s practice focuses primarily on capital markets and other leveraged finance transactions. He has extensive experience advising issuers and underwriters in U.S. and European equity and debt offerings and related financings, including high-yield bridge, bond and other leveraged financings, and general U.S. securities law. He also advises issuers, investors and other stakeholders on liability management transactions, special situations, and financial and operational restructurings.
As in the previous edition (2024), Alan is recognized in Legal 500 UK 2025 for Debt Capital Markets.
Alan joined Sidley as a partner in 2016.

- Fortress Investment Group on the acquisition of Punch Pubs & Co.
- Atento SA in the offering of US$500 million 8% Senior Secured Notes due 2026 by its subsidiary, Atento Luxco 1.
- Travelex on its financial and operational restructuring.
- Atento on the acquisition of equity by institutional investors.
- Micron Technologies, Inc. on its investment in Volocopter.
- Anixter International Inc. in its acquisition by an affiliate of Clayton, Dubilier & Rice (CD&R) in an all cash transaction for US$3.8 billion.
- Global Loan Agency Services in connection with the restructuring of Galapagos Holding S.A.
- Global Loan Agency Services Limited in connection with the sale of Young’s Seafood Limited, one of the UK’s leading producers and distributors of seafood, to Karro Food Group.
- I Squared Capital, through its ISQ Global Infrastructure Fund II, in its US$460 million investment in convertible equity securities in Venture Global LNG.
- Fnac Darty S.A., a leading European retailer of consumer electronics, editorial products and household appliances, in connection with its offering of €300 million 1.875% Senior Notes due 2024 and €350 million 2.625% Senior Notes due 2026.
- Multi-Color Corporation in connection with its agreement to be acquired by an affiliate of Platinum Equity LLC, a leading private equity firm.
- NH Hotel Group, S.A. in connection with its offering of €285 million 3.75% Senior Secured Notes due 2023.
- The initial purchasers in respect of Sisal Group S.p.A.’s offering of €325 million Senior Secured Floating Rate Notes due 2022 and €425 million Senior Secured Fixed Rate Notes due 2023.
- The dealer managers in connection with CGG S.A.’s exchange of various series of notes for senior secured term loans maturing 2019 and cash.
- The initial purchasers in respect of the bond financing for the leveraged buy-out of Compagnie de Saint-Gobain’s packaging operations (Verallia) by Apollo Partners, including the offering of €300 million 5.125% Senior Secured Notes due 2022 and €225 million 7.25% Senior Notes due 2023.
- Ashland Inc. in its offer to purchase any and all of its 3% Senior Notes due 2016.
- The lenders in respect of the bridge financing for the leveraged buy-out of EWOS by Bain Capital and Altor involving €300 million and 2,640 million NOK of acquisition financing.
- The initial purchasers in respect of Capital Product Partners L.P.’s offering of First Priority Ship Mortgage Notes due 2022.
- The initial purchasers in respect of New Look Retail Group Limited’s offering of £500 million 8.75% Senior Secured Notes due 2018, US$250 million 8.375% Senior Secured Notes due 2018 and €175 million Floating Rate Notes due 2018.
- The initial purchasers in respect of NewStar Financial, Inc.’s offering of US$300 million 7.25% Senior Notes due 2020.

- The underwriters in respect of the financing for Actavis plc’s acquisition of Allergan plc involving the registered offering of US$4.6 billion 5.5% Mandatory Convertible Preferred Shares, Series A.
- The initial purchasers in respect of the bond financing for the leveraged buy-out of FTE Automotive GmbH by Bain Capital, including the offering of €240 million 9% Senior Secured Notes due 2020.
- The underwriters in respect of Standard Pacific Corp.’s registered offering of US$300 million 5.875% Senior Notes due 2024.
- The initial purchasers in respect of Cerba European Lab’s offering of €365 million 7.00% Senior Secured Notes due 2020.
- Sappi Limited in respect of its tender offer for up to $700 million of its 11.75% Senior Secured Notes due 2014 and 12.00% Senior Secured Notes due 2014.
