Biography
GERMAINE GURR advises clients on mergers and acquisitions, private equity, securities offerings, capital raising opportunities, joint venture and commercial transactions, and general corporate matters. She regularly counsels global companies on legal and business considerations in corporate and commercial transactions, operational structuring and management, and compliance and governance matters. Germaine has extensive experience in the energy industry, as well as in the infrastructure, software, chemical, food, industrial and facility-related services, and telecommunications sectors.
Having previously served as vice president and deputy general counsel of a global Fortune 500 energy management and automation company, where she was responsible for and managed the company’s corporate transactions and corporate governance matters, Germaine’s clients significantly benefit from her in-house experience and understanding.
Germaine is listed among The Deal’s “Top Women in Dealmaking for M&A” and in IFLR1000’s “Women Leaders Guide for M&A in the United States,” 2021–2023, 2025. Latino Leaders named her one of the “Top Latino Lawyers” in 2023 and she is listed in Euromoney’s Women in Business Law Guide and Euromoney’s Expert Guide for Corporate/ M&A in the United States in 2021. - Tata Consumer Products (NYSE: TATACONSUM) in its acquisition of food and beverage company Organic India.
- Azelis, in its acquisition of 100% of the shares of Gilco Ingredients.
- Schneider Electric in its global carve-out and binding commitment to divest of its industrial sensors business to Yageo Corporation.
- AlphaStruxure, a joint venture between Schneider Electric and Carlyle Group, in its contract to design, build and operate integrated microgrid infrastructure at the New Terminal One (NTO) at John F. Kennedy (JFK) International Airport in New York.
- Sole Source Capital LLC’s portfolio company ID Images, a premier provider of product identification solutions, in its acquisition of Summit Labels, Precision Label, Hickman Label, Digital Printing Concepts, Multi-Action, and Valley Forge Tape & Label in separate transactions.
- Sole Source Capital LLC, an industrial-focused private equity firm, in its acquisition of Westwood Laboratories, a contract manufacturer of consumer staple products in the beauty, personal care, pet and over-the-counter drug end markets.
- Sole Source Capital LLC’s portfolio company Dallas Plastics, a leading manufacturer of blown polyethylene film with printing, embossing, and other value-added capabilities for the medical, food and industrial end markets, in its acquisition of Emballage MPP, Inc. and Hi-De Liners in separate transactions.
- AlphaStruxure, a joint venture between Schneider Electric and Carlyle Group, in its IntegratedFleet Electrification Infrastructure Project, a first-of-its-kind energy as a service (EaaS) fleet electrification project, to support Montgomery County, Maryland’s growing electric bus fleet. The joint venture will enable at least 44 buses in Ride On, Montgomery County Transit’s fleet, to transition from diesel to electric.
- Azelis Americas, LLC, a specialty chemicals and food ingredients distributor in North America, on its acquisition of Vigon International, Inc., a leading U.S. specialty distributor and manufacturer of ingredients for the flavors, fragrances and cosmetics market segments.
- GreenStruxure, a joint venture of Schneider Electric and Huck Capital formed to develop a strategic partnership with ClearGen, a Blackstone portfolio company, whereby ClearGen will provide US$500 million in long-term capital to Green Struxure to develop, operate, and maintain on-site renewable energy microgrid systems. Customers of these microgrids will benefit from an “energy as a service” solution that provides energy and sustainability solutions with no upfront capital contribution and no operational risks.
- Sole Source Capital LLC, an industrial-focused private equity firm, and its portfolio company, Peak Technologies, a value-added reseller of barcoding and data collection solutions across North America, in its acquisition of Inovity, Inc., Bar Code Direct, DBK Concepts, Siena Analytics, Vision ID, Dalosy, Graphic Label, and Avalon Integration in separate transactions.
- Sole Source Capital LLC in its acquisition of Peak-Ryzex from Keystone Capital and separately in its acquisition of Optical Phusion Inc. from its founders, two leading providers of automatic identification, data capture and factory automation solutions.
- Sole Source Capital in its platform acquisition of Dallas Plastics, a leading manufacturer of blown polyethylene film with printing, embossing, and other value-added capabilities for the medical, food and industrial end markets.
- Sole Source Capital in its acquisition of Supply Chain Services, a premier provider of automatic identification and data capture (AIDC) and factory automation solutions to customers across North America.
- Sole Source Capital LLC’s portfolio company Supply Chain Services, in its acquisition of Dasco Label, Miles Data Technologies, Coridian Technologies LLC, ISG Technologies, and Access POS in separate transactions.
- Schneider Electric in the US$2.1 billion (₹14,000 crore) acquisition of Larson & Toubro Electrical & Automation Division. The transaction was named “Cross-Border M&A Deal of the Year (Over US$1 billion)” by The M&A Advisor (2020).
- Schneider Electric Foundries, a multinational company providing energy and automation digital products, on the incubation, establishment and investment in energy management company NaviX Solutions based in Singapore. NaviX Solutions is the first venture developed by the partnership between SEF and EDB New Ventures, the corporate venture building arm of the Singapore Economic Development Board.
- Schneider Electric in its joint venture with Huck Capital to deliver energy as a service to owners and operators of commercial and industrial buildings in North America by developing and operating on site microgrids up to 5MWp, representing the client in, among other things, the structuring of the joint venture between the investors and management, the set-up of the management investment vehicle and incentive plan, and the commercial and technology arrangements between the joint venture and the technology partner.
