Scott Macdonald

SCOTT MACDONALD focuses his practice on the representation of fund sponsors in the structuring, formation, and operation of private investment funds, including private equity, real estate, infrastructure, food and agriculture, natural resources and hybrid funds, as well as funds of funds. Scott also advises fund sponsors in the formation, operation, and regulatory compliance of their investment advisers and related entities. He advises fund sponsors on other internal matters, including carry plans, succession planning, and general governance matters.

In addition, Scott represents prominent institutional investors in connection with their investments in leading private investment funds, separate and/or managed accounts, co-investments, secondary transactions, continuation vehicles, and acquisitions of interests in fund sponsors (including GP stakes transactions) and otherwise.

He is ranked by Chambers Global (USA, 2022–2025) and Chambers USA (Nationwide, 2021–2025) for Investment Funds: Investor Representation.
