MARK ROGERS is a senior attorney in the New York office. Over the years, his practice has focused on securitization, capital markets and other activities associated with debt backed by commercial real estate (CRE) and residential real estate. This includes new-issue and secondary-market CMBS and RMBS and transactions involving complicated financial assets. He has worked on numerous transactions whose documentation was precedent-setting.
Mark’s experience was invaluable to numerous market participants in the aftermath of the 2008/2009 financial crisis. He was a key member of the Sidley team that provided legal advice and practical information to monetary authorities during their adoption of the principal policy program aimed at restoring the CRE debt markets. As the crisis resulted in distress at the individual-asset level, he advised distressed-asset funds and other strategic investors on how cash and control/enforcement rights flowed across and down multiple layers of the capital stack. Later, he wrote the documents for some of the first securitizations to emerge as the lending and new-issue securitization markets regained their footing in the wake of the same monetary policy program for which he earlier provided assistance.
