Biography

KRISTEN SMITH focuses her practice on financing transactions and private equity. She represents private equity sponsors and their portfolio companies and public and private companies in acquisition and non-acquisition contexts. In addition, Kristen has experience in the financing of workouts and restructurings, including complex liability management transactions.

Representative Matters

Kristen’s experience includes the following representative matters:

  • Clearlake Capital Group, L.P. and Francisco Partners in the financing for their acquisition of Software Integrity Group (“SIG”) from Synopsys, Inc. (NASDAQ: SNPS) for total consideration of up to US$2.1 billion.
  • Clearlake Capital Group, L.P. and its portfolio companies in multiple financings, including:
    • Its US$4.4 billion acquisition of Alteryx, Inc., a leader in artificial intelligence for enterprise analytics.
    • Its US$4.4 billion acquisition of Alteryx, Inc., a leader in artificial intelligence for enterprise analytics.
    • Its US$5.2 billion acquisition of Cornerstone OnDemand, Inc., a global leader in talent management software.
    • Its acquisition of Discovery Education, Inc., a global edtech company.
    • The acquisition by Symplr, a global leader in enterprise healthcare operations, of Midas Health Analytics Solutions from Conduent Incorporated.
  • Utz Quality Foods in multiple financings, including the refinancing of its US$630 million senior secured term loan facility, the amendment and extension of its US$225 million asset-based revolving credit facility, a loan financing secured by certain real property and the financing for its acquisition of Inventure Foods and Truco Enterprises.
  • Arcline Investment Management and its portfolio companies in multiple financings and ongoing portfolio matters.
  • Restaurant Brands International Inc., a multinational fast-food holding company comprised of Burger King, Popeyes Louisiana Kitchen, and Tim Hortons, and its predecessors, in multiple financings, including:
    • Its US$1 billion acquisition of Carrols Restaurant Group.
    • The refinancing of its US$5.43 billion senior secured credit facilities.
    • The acquisition by Burger King Worldwide of Tim Hortons, Inc.
  • Siris Capital Group and its portfolio companies in multiple financings, including:
    • Electronics for Imaging, a global technology company, in connection with multiple credit facilities.
    • The refinancing by TPx Communications, a leading nationwide managed services provider, of approximately US$600 million in loans under an existing facility into new superpriority secured credit facilities and concurrent equity investment led by Siris.
  • Stonepeak Partners LP in the financing for its acquisition of a 50% interest in the Key Access Pipeline System (“KAPS”), a Canadian natural gas liquids and condensate pipeline system.
  • ChrysCapital in the financing of its acquisition of Xoriant, a premier software engineering and digital IT services provider.
  • Kinderhook Industries and various of its portfolio companies in multiple financings.
  • CareMax, Inc. in the financing for its Chapter 11 filing.
  • nCino, Inc., a worldwide leader in cloud banking technology, in the establishment of its revolving credit facility.
  • Norwegian Cruise Line Holdings Ltd. in connection with its US$750 million exchangeable senior notes offering, US$675 million senior secured notes offering, and ongoing financing matters.
  • Univar Inc. with respect to financing matters in its US$2 billion acquisition of Nexeo Solutions, Inc.
