Marcos A. Alvarez

MARCOS ALVAREZ focuses his practice on complex corporate transactions, including private equity transactions, corporate governance matters, domestic and cross-border mergers and acquisitions, joint ventures, and recapitalizations in a variety of industries. He also supports private equity portfolio companies and privately held companies with counsel on day-to-day operations, including employment matters, equity incentives, commercial contracts, corporate governance matters, and post-merger integration.

Prior to joining Sidley, Marcos was an associate in the Miami office of a leading international law firm, where he advised clients primarily in private equity and healthcare transactions.

Marcos earned his J.D. from Fordham University School of Law.

• Represented a publicly traded racing and gaming operator in its acquisition of a leading provider of technology supporting horse racing operations across the United States.
• Represented an integrated regional health system in its agreement to acquire three hospitals and affiliated operations in South Carolina from a national publicly traded healthcare services company.
• Represented a telecommunications hardware and software company with operations across more than 10 countries in Chapter 11 cases, resulting in fully consensual plan confirmation in the U.S. Bankruptcy Court for the District of Delaware, going-concern sales of its 5G mobile core/RAN and cable businesses across multiple jurisdictions, and a global settlement providing recoveries to unsecured creditors.
